These Terms and Conditions ("Terms") govern your access to and use of minsley.com and any purchase from the Minsley online store. The website and online store are operated by Minsley, Inc. By accessing the website, creating an account, or placing an order, you agree to these Terms, our Privacy Policy, Shipping Policy, and Return and Refund Policy.

If you do not agree to these Terms, do not use the website or place an order. Additional terms may apply to specific promotions, products, or services. If additional terms conflict with these Terms, the additional terms control for the applicable promotion, product, or service.

SECTION 1 - ELIGIBILITY AND LAWFUL USE

You must be at least the age of majority in your state of residence, or use the website with the involvement and consent of a parent or legal guardian. You may use the website only for lawful purposes and in accordance with these Terms.

SECTION 2 - ACCOUNTS AND ACCOUNT SECURITY

You are responsible for activity conducted through your account. Notify us promptly if you suspect unauthorized access or use.

We may suspend or terminate an account, refuse service, or cancel orders when reasonably necessary to address suspected fraud, misuse, security risks, violations of these Terms, or legal requirements.

SECTION 3 - PRODUCT INFORMATION

We strive to present accurate product descriptions, images, ingredients, package sizes, nutrition information, certifications, availability, and other details. Packaging and product appearance may change, and colors may display differently depending on your device. The information printed on the product label and packaging controls if website information differs from the physical product.

Products are offered subject to availability. We may limit quantities, discontinue products, modify packaging, or correct errors without prior notice. Product availability at retail stores does not guarantee availability through the online store, and online availability does not guarantee retail availability.

SECTION 4 - FOOD, INGREDIENT, AND ALLERGEN INFORMATION

Always read the product label, ingredient statement, nutrition facts, preparation instructions, storage instructions, and allergen declarations before consuming a product. Manufacturing processes, suppliers, ingredients, and packaging may change. Website content is not a substitute for the physical product label.

Customers with food allergies, sensitivities, dietary restrictions, or medical concerns are responsible for determining whether a product is appropriate for them. Contact us with product questions before purchase. Nothing on the website is medical, nutritional, or health advice, and no statement is intended to diagnose, treat, cure, or prevent disease.

Prices are displayed in U.S. dollars unless otherwise stated. Prices, promotions, and product availability may change without notice. Applicable sales tax, shipping charges, and other fees will be shown at checkout before you submit an order. Prices offered through the Minsley online store may differ from prices offered by retailers, distributors, warehouse clubs, or other sales channels.

SECTION 6 - ORDERS AND ACCEPTANCE

Submitting an order is an offer to purchase. An order confirmation acknowledges receipt of your order but does not guarantee acceptance. We may accept, reject, limit, or cancel an order for reasons including product unavailability, suspected fraud, pricing or description errors, shipping restrictions, payment issues, or violation of these Terms.

If we cancel an order after payment has been authorized or collected, we will void the authorization or issue a refund for the canceled amount. We may contact you to verify information before accepting or fulfilling an order.

SECTION 7 - PAYMENT

You authorize us and our payment processors to charge the payment method submitted at checkout for the total amount of your order, including taxes, shipping, and other disclosed charges. You represent that you are authorized to use the payment method. Payment processing is subject to the terms and privacy practices of the payment provider.

SECTION 8 - SHIPPING AND DELIVERY

Shipping is governed by the Shipping Policy posted on the website. Delivery dates are estimates and are not guaranteed. Risk of loss may be affected by applicable law, carrier terms, delivery location, and the circumstances of delivery. You are responsible for providing a complete and accurate shipping address and for monitoring tracking information.

If a shipment is delayed beyond a promised shipment date, we will take action consistent with applicable law, which may include requesting consent to a delay or canceling and refunding the unshipped portion of the order.

SECTION 9 - RETURNS, REFUNDS, REPLACEMENTS, AND CANCELLATIONS

Returns, refunds, replacements, and cancellations are governed by the Return and Refund Policy posted on the website. Because Minsley sells food products, routine returns are generally not accepted for food safety and quality-control reasons. Approved remedies may include a replacement, refund, or store credit, depending on the circumstances.

SECTION 10 - PROMOTIONS AND DISCOUNT CODES

Promotions and discount codes are subject to their stated terms, expiration dates, eligibility rules, product exclusions, and quantity limits. Unless expressly stated, promotions cannot be combined, applied to prior purchases, exchanged for cash, or transferred. We may modify or cancel a promotion where permitted by law, including in response to fraud, misuse, technical errors, or circumstances outside our reasonable control.

SECTION 12 - REVIEWS, FEEDBACK, AND OTHER SUBMISSIONS

If you submit a review, photograph, idea, recipe, suggestion, or other content, you represent that you have the right to submit it and that it does not violate law or third-party rights. You grant Minsley a nonexclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, display, distribute, and create derivative works from the submission in connection with our business, products, website, and marketing, subject to applicable law and our Privacy Policy.

We may moderate, remove, or decline to publish submissions that are unlawful, misleading, offensive, irrelevant, infringing, promotional, fraudulent, or otherwise inappropriate. We are not required to treat submissions as confidential unless we expressly agree in writing.

You may not:

We do not control and are not responsible for third-party content, products, services, terms, privacy practices, availability, or security. MINSLEY DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT A WARRANTY CANNOT BE DISCLAIMED UNDER APPLICABLE LAW.

We do not warrant that the website will be uninterrupted, error-free, secure, or free of harmful components, or that content will always be accurate, complete, or current. This disclaimer does not affect any express product warranty or consumer right that cannot lawfully be excluded.

SECTION 16 - LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINSLEY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE WEBSITE, PRODUCTS, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINSLEY’S TOTAL LIABILITY FOR A CLAIM ARISING FROM OR RELATED TO A PRODUCT PURCHASE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED BY LAW, INCLUDING CERTAIN RIGHTS AVAILABLE UNDER CONSUMER PROTECTION OR PRODUCT LIABILITY LAWS.

SECTION 17 - INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless Minsley and its affiliates, officers, directors, employees, agents, licensors, and service providers from claims, losses, liabilities, damages, judgments, costs, and expenses, including reasonable attorneys’ fees, arising from your unlawful misuse of the website, violation of these Terms, or infringement of another person’s rights.

SECTION 18 - FORCE MAJEURE

Minsley is not responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, severe weather, fire, flood, epidemic, pandemic, labor disruption, carrier interruption, supply shortage, power or network failure, governmental action, war, terrorism, civil unrest, or similar events. This provision does not limit rights or remedies that cannot be waived under applicable law.

SECTION 19 - SUSPENSION AND TERMINATION

We may suspend or terminate access to the website or an account if we reasonably believe you violated these Terms, created risk or possible legal exposure, engaged in fraud or abuse, or threatened website security. Provisions that by their nature should survive termination will remain in effect, including intellectual property, disclaimers, limitations of liability, indemnification, and governing law provisions.

SECTION 20 - GOVERNING LAW AND VENUE

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where federal law applies or applicable consumer law requires otherwise. Subject to any rights that cannot be waived, legal proceedings arising from these Terms or the website will be brought in the state or federal courts located in San Bernardino County, California, and the parties consent to those courts’ jurisdiction and venue.

SECTION 21 - SEVERABILITY AND WAIVER

If any provision of these Terms is found unenforceable, the provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver of the right to enforce it later.

SECTION 22 - ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Shipping Policy, Return and Refund Policy, and any additional terms that apply to a specific transaction, constitute the entire agreement between you and Minsley regarding the website and online purchases and supersede prior communications on those subjects.

SECTION 23 - CHANGES TO THESE TERMS

We may update these Terms from time to time. Revised Terms will be posted with an updated effective date. Changes apply prospectively unless otherwise stated or required by law. Your continued use of the website after revised Terms become effective constitutes acceptance of the revised Terms.
